Terms of Service

Section 1

Definitions

• “Platform” means the RedRock construction management software-as-a-service application, including all features, APIs, and documentation.
• “Subscriber” means the legal entity or individual that has entered into a subscription agreement with Kaos Design Werks, LLC.
• “Authorized User” means any individual authorized by the Subscriber to access the Platform under the Subscriber's account.
• “Subscriber Data” means all data, content, and materials uploaded, submitted, or created by the Subscriber or Authorized Users within the Platform.
• “Subscription Term” means the paid subscription period as specified in the Subscriber's order or account dashboard.

Section 2

Platform Access

Subject to these Terms, Kaos Design Werks, LLC grants the Subscriber a limited, non-exclusive, non-transferable, revocable license to access and use the Platform during the Subscription Term solely for the Subscriber's internal business operations.

• The Subscriber is responsible for all activity occurring under its account.
• Account credentials must not be shared between individuals; each Authorized User requires their own login.
• The Subscriber must promptly notify RedRock of any unauthorized account access.

Section 3

Acceptable Use

You agree not to:

• Upload or transmit malicious code, viruses, or any content designed to disrupt or damage the Platform or its users.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform.
• Perform automated bulk scraping, crawling, or data extraction beyond normal platform use.
• Resell, sublicense, or otherwise make the Platform available to third parties outside your organization without written consent.

Section 4

Subscriber Data Ownership

The Subscriber retains all intellectual property rights in and to Subscriber Data. RedRock claims no ownership interest in your data.

• RedRock is granted a limited license to process Subscriber Data solely as necessary to deliver the Platform services.
• Upon termination, Subscribers have a 30-day window to export their data.
• Subscriber Data is permanently deleted within 90 days of account termination.

Section 5

Fees & Payment

• All subscription fees are non-refundable except as expressly stated in these Terms or required by law.
• RedRock may adjust subscription pricing with 30 days' advance written notice.
• Overdue accounts may be suspended until payment is received in full.

Section 6

Service Availability

RedRock targets 99.5% monthly uptime for the Platform, excluding scheduled maintenance and events beyond our reasonable control. Customer support is available via email at info@redrock-cm.com.

Section 7

Intellectual Property

Kaos Design Werks, LLC retains all right, title, and interest in the Platform, including all software, interfaces, trademarks, and documentation. Nothing in these Terms transfers any ownership rights to the Subscriber.

Any feedback, suggestions, or ideas you provide regarding the Platform may be used by RedRock without any obligation of compensation, attribution, or confidentiality.

Section 8

Confidentiality

Each party agrees to maintain the confidentiality of the other party's non-public business information disclosed in connection with use of the Platform, using at least the same degree of care used to protect its own confidential information, and no less than reasonable care.

Indemnification

The Subscriber agrees to indemnify, defend, and hold harmless Kaos Design Werks, LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) Subscriber Data, including any claim that Subscriber Data infringes third-party rights; or (b) the Subscriber's violation of these Terms or applicable law.

Section 12

Term and Termination

These Terms remain in effect for the Subscription Term and any renewals. Either party may terminate for material breach with 30 days' written notice and an opportunity to cure during that period.

The following sections survive termination: Subscriber Data (Section 4), Intellectual Property (Section 7), Confidentiality (Section 8), Limitation of Liability (Section 10), and Governing Law (Section 13).

Section 13

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising out of or related to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in Austin, Texas, under its Commercial Arbitration Rules. Each party waives any right to a jury trial and to participation in any class action.

Modifications

RedRock may modify these Terms with at least 30 days' advance notice via email or in-platform notification. Continued use of the Platform after the effective date of changes constitutes acceptance. If you object to any modification, you may terminate your subscription and receive a pro-rata refund of prepaid fees for the unused Subscription Term.
